Was under impression quarterly updates would take place once they incorporated. Year end update also gave impression we would receive some news before now...very disingenuous. Deserves giving the office a phone call this week for clarification.

Worth mentioning that Scuderi appears to have "incorporated" via a merger with Scuderi Inc. (a Delaware corporation) around January of 2013. Annual reports to the MA Corp division for Scuderi Inc. and Air Hybrid Investment Clubs I - IV (the LLCs) are not filed for 2014-2016 and 2015-2016, respectively. The failure of Scuderi Inc to file an annual report, at best, reflects folks not doing the housekeeping necessary to operate a company. The failure of Air Hybrid Investment Clubs I - IV to file annual reports further jeopardizes tens of millions in investments, as those LLCs will eventually be dissolved by the Massachusetts courts. At this juncture, the clubs should really collapse and their members become pro-rata shareholders in Scuderi Inc. Scuderi's BoD should answer to its true shareholders. At a bare minimum, the members should be provided proof their Investment Club received shares in the new Scuderi Inc.

It was mentioned months earlier that club shares were being taken in by Scuderi. Companies incorporate all the time. This is not how it's made to look here. Understand what incorporate means. Scuderi didn't make money in 2013,2014-2016. I suppose an annual report would be fine except for that, and they are also a private concern. What i really don't get is clubs 1-4 filing of annual reports? Again, no money, private, and nobodies business. Ha Ho, I sound like trump, but nothing illegal at all about that. Tens of millions in jeopardy? Clubs collapse? How? The only way would be for scuderi to give up. That's it. As i said in a past post that Scuderi was taking in shares, well, that was correct and my club was notified on just that. Scuderi board of directors (if their is one) did their job. Thank You....

vroom, Tina answered the phone. dan27, beep is correct any business that is incorporated whether a C-Corp or LLC needs to file an annual return. Doesn't matter if made money or not.

Scuderi did not "take in shares" of the clubs. That is not accurate and I am not sure what that means anyway. We were informed that the company was converted to a c Corp, but they did nothing with the clubs themselves.

just a fyi scuderi is registered as a LLC as per their website, they are reguired to file a tax return annually by law and issue K,1s to all owners c corp actually requires more disclosure, just a heads up hoping it works out

You have every right to believe whatever you wish. My club's business arrangements are different than yours, but your saying not accurate is inaccurate because you were not a member of my club. You can't just make a blanket statement as you did. Thank You....
